for signature and filing:

• Certificate of Limited Partnership (Form LP-1)

• Partnership Agreement

• Federal taxpayer identification number application (Form SS-4)

• General Partnerships:

• Statement of Partnership Authority (Form GP-1)

• Partnership Agreement

• Federal taxpayer identification number application (Form SS-4)

• Prepare and process additional documents as appropriate to individual client needs such as:

• Private Placement Memorandum and subscription documents (syndicated limited partnerships only)

• State and federal securities law compliance requirements (syndicated limited partnerships only)

• Fictitious business name filing and publication

• Employment agreements for key employees and employee handbooks

• Equipment and real estate leases and lease assignments

• Special financing documents
